BEAT LICENSE AGREEMENT — BASIC LEASE Template beat-license-2026-10-18 This agreement is made on 2026-11-06 (the "Effective Date") between Lumen 808 (@lumen808 on MusicLynk) ("Producer") and [YOUR FULL LEGAL NAME] ("Licensee"), through MusicLynk. 1. THE BEAT The instrumental titled "Rainy Window" (the "Beat"), produced by Producer. 2. PRICE Licensee pays $29.99 (US dollars) through MusicLynk. This agreement takes effect only when the payment is confirmed. A payment that is refunded in full or reversed ends this agreement. 3. WHAT IS GRANTED Producer grants Licensee a non-exclusive, non-transferable license to use the Beat to create one new song ("New Song") and to exploit it as set out below. Producer keeps ownership of the copyright in the Beat and may license it to others. 4. LIMITS - Streams: up to 100,000 streams - Sales and downloads: up to 2,000 copies - Music videos: Up to 1 - Live performances: Non-profit performances only - Radio broadcast: Not allowed - Monetization (streaming and video platforms): Allowed - Film, TV, ads and games (sync): Not allowed - Term: 10 years - Territory: Worldwide Using the New Song beyond these limits requires a new license from Producer. 5. FILES Producer delivers through MusicLynk: WAV file. Licensee may download them from My Licenses while this agreement is in force. 6. CREDIT, PUBLISHING AND PERFORMING RIGHTS Licensee must credit Producer as follows wherever credits are shown: "Produced by Lumen 808". Producer owns 50% of the writer’s share (and the matching publisher’s share) of each New Song’s composition. Licensee owns the lyrics and melodies Licensee writes. Each party may register its own share with its performing rights organization (PRO) and collect what is due to it directly. 7. MASTER RECORDING OF THE NEW SONG Licensee owns the master recording of the New Song that Licensee records, except the Beat itself, which remains Producer’s under section 3. 8. WHAT LICENSEE MAY NOT DO - Sell, give away, re-license or transfer the Beat itself (with or without changes), or this license, to anyone else. - Register the Beat on its own (without new vocals or a substantial new part) with Content ID or any similar system, or claim the Beat as Licensee’s own work. - Use the Beat in anything defamatory, hateful or unlawful. 9. PRODUCER’S PROMISES Producer promises that Producer has all rights, licenses, consents and authority needed to grant this license, including for any samples, loops or collaborators’ contributions in the Beat, and that the Beat does not infringe anyone’s rights. If this promise is untrue, Licensee may end this agreement and Producer is responsible for the resulting claims, to the extent the law allows. 10. TERM, BREACH AND ENDING This agreement lasts 10 years from the Effective Date. Songs already released may stay available after that, but no new uses may start. If Licensee breaks this agreement and does not fix it within 30 days of written notice, Producer may end it. If it ends, Licensee must stop new uses of the Beat. 11. MUSICLYNK’S ROLE MusicLynk, a platform operated by World Famous Media Group LLC, provides the marketplace, takes the payment and delivers the files. MusicLynk and World Famous Media Group LLC are not parties to this license and do not own the Beat. Disputes between Producer and Licensee are between them; MusicLynk may act under its own Terms (for example on a copyright complaint). 12. EVERYTHING ELSE This document, as accepted and stored on MusicLynk, is the whole agreement for this license. Changes must be in writing and accepted by both parties. If one part cannot be enforced, the rest still applies. ACCEPTANCE Licensee accepted this agreement electronically on MusicLynk by ticking "I have read and agree to this beat license" and paying. Producer accepted these terms by offering this license on MusicLynk.
